Terms of Service

1. Introduction and Acceptance

1.1 These Terms of Service ('Terms') govern your access to and use of account.almostuseful.xyz and the services provided by Almost Useful Pty Ltd (671 422 610) of 3 Valewood Dr ('we', 'us', or 'our'). The Almost Useful account portal (account.almostuseful.xyz) is an online platform where you create and manage your account, purchase and manage digital products and subscriptions, and view your usage. The portal does not itself provide the underlying product features; it manages your account, entitlements, payments, and access to those separate Almost Useful products, and billing is handled through our third-party payment provider.

1.2 By accessing or using our service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our service.

1.3 These Terms are effective from 27 September 2026. We may update these Terms from time to time. We will notify you of material changes by email or by a prominent notice on our website. Your continued use of the service after notification constitutes your acceptance of the updated Terms.

1.4 These Terms must be read in conjunction with our Privacy Policy, which is available on our website and describes how we handle your personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles.

2. Eligibility

2.1 You must be at least 18 years of age (adults only) to use our service. By using our service, you represent and warrant that you meet this age requirement.

2.2 If you are using our service on behalf of a company, organisation, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and 'you' refers to that entity.

3. User Accounts

3.1 To access certain features of our service, you may be required to create an account. You agree to provide accurate, current, and complete information when creating your account and to keep your information updated.

3.2 You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@almostuseful.xyz if you become aware of any unauthorised use of your account.

3.3 We reserve the right to suspend or terminate your account if we reasonably believe you have breached these Terms or if required by law.

4. Acceptable Use

4.1 You agree to use our service only for lawful purposes and in accordance with these Terms. You must not:

• use our service in any way that violates any applicable Australian or international law or regulation;
• transmit any material that is defamatory, offensive, or otherwise objectionable;
• infringe the intellectual property rights or other rights of any person;
• transmit any unsolicited commercial communications (spam) in violation of the Spam Act 2003 (Cth);
• attempt to gain unauthorised access to any part of our service or any connected systems;
• use any automated means to access or scrape our service without our prior written consent; or
• engage in any conduct that restricts or inhibits other users' enjoyment of the service.

5. Intellectual Property

5.1 All content, materials, software, and intellectual property on our service — including text, graphics, logos, button icons, images, audio clips, and data compilations — are owned by or licensed to Almost Useful Pty Ltd and are protected under the Copyright Act 1968 (Cth) and other applicable Australian and international intellectual property laws.

5.2 We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use our service for your personal or internal business purposes in accordance with these Terms. You must not reproduce, distribute, modify, or create derivative works of our content without our prior written consent.

6. Payment and Subscriptions

6.1 Prices are exclusive of tax, and the total payable, including any applicable tax, is shown at checkout before you pay. Subscriptions renew each billing period until you cancel; each period includes a usage allowance that does not roll over (see clauses 6.4 and 6.5), and cancellation takes effect at the end of the current paid period. Payments and billing are handled by our third-party payment provider; we may suspend access if payment fails, and we may change prices with reasonable notice.

6.2 Refunds: Where the law allows, we do not refund fees for the current billing period or unused usage allowances when you cancel a subscription, and you retain access until the end of the paid period. You keep all rights under applicable consumer law, including the Australian Consumer Law where it applies to you; if you are entitled to a remedy for a service that is faulty or not as described, contact support@almostuseful.xyz.

6.3 Nothing in this clause limits your rights under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)), including your statutory rights to a refund for major failures of services or goods.

6.4 Usage allowances: Each AI subscription tier includes a usage allowance for each billing period. The subscription price is a fee for access to the service; it is not a credit balance and does not represent the value of AI usage included. Allowances scale linearly with the tier price, so a higher-priced tier includes proportionally more usage than a lower-priced tier. We do not publish the amount of each allowance. The portal shows your usage as a share of your allowance.

6.5 Early access: During our early access period, we may change the allowance for any tier from month to month while a sustainable usage allowance ratio is determined. Any change takes effect from the start of your next billing period and never applies to a billing period you have already paid for, except that if you choose to change tier, the new tier's current allowance applies from that change. Allowances will continue to scale linearly with the tier price. If a change reduces your allowance, we will notify you by email or by a prominent notice in the portal at least 7 days before it applies to you, and you may cancel before your next renewal without further charge. We will update these Terms when the early access period ends.

7. Limitation of Liability

7.1 To the maximum extent permitted by law — including the Australian Consumer Law — our liability to you for any loss or damage arising from or in connection with these Terms or your use of our service is limited to the greater of: (a) the amount you paid us in the 12 months preceding the event giving rise to the claim; or (b) AUD $100.

7.2 To the maximum extent permitted by law, we exclude all liability for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption.

7.3 Our services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures, you are entitled to a refund and compensation for any other reasonably foreseeable loss. For minor failures, we are entitled to repair or replace the service. Nothing in these Terms excludes those non-excludable statutory guarantees.

8. Privacy

8.1 We collect, use, and disclose personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth) and the Australian Privacy Principles. Our Privacy Policy is available at account.almostuseful.xyz/legal/privacy and is incorporated into these Terms by reference.

8.2 By using our service, you consent to the collection and use of your personal information as described in our Privacy Policy.

9. Termination

9.1 We may suspend or terminate your access to our service immediately, without notice, if we reasonably believe you have breached these Terms, if required by law, or if we decide to cease providing the service.

9.2 You may terminate your account at any time by contacting us at support@almostuseful.xyz. Termination does not entitle you to a refund for any prepaid amounts except where required by the Australian Consumer Law.

9.3 Clauses that by their nature should survive termination — including intellectual property, limitation of liability, and governing law — continue to apply after termination.

10. Dispute Resolution

10.1 If you have a dispute with us, please contact us first at support@almostuseful.xyz to attempt to resolve the matter informally.

10.2 If the dispute cannot be resolved informally within 30 days, either party may refer the dispute to mediation before commencing court proceedings.

10.3 These Terms are governed by the laws of Victoria, Australia. Each party irrevocably submits to the non-exclusive jurisdiction of the courts of Victoria and the Federal Court of Australia.

10.4 Nothing in this clause limits your right to make a complaint to the ACCC, your state or territory Fair Trading office, or any other relevant Australian consumer protection authority.

11. General

11.1 These Terms constitute the entire agreement between you and Almost Useful Pty Ltd regarding your use of our service.

11.2 If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions continue in full force.

11.3 Our failure to enforce any right under these Terms is not a waiver of that right.
